Masusu provides design, development, and related digital services. Specific services, deliverables, timelines, and costs will be defined in project proposals, statements of work, or agreements signed with each client.


  1. Proposals & Agreements


  • All proposals are valid for 30 days unless otherwise stated.

  • A project begins only after a signed agreement and the initial payment (if applicable) have been received.

  • Scope, timeline, and deliverables are based on the agreed proposal. Any additional requests may be subject to change orders and additional fees.


  1. Subscription Services (12-Month Engagement)


  • Masusu may offer services under a 12-month subscription agreement billed monthly.

  • By entering into a subscription agreement, the client agrees to the following:


Commitment Term


  • Subscription services require a minimum commitment of 12 months unless otherwise stated in writing.

  • Early termination does not waive outstanding payments due for the remaining contract term.


Payment Terms


  • Subscription fees are billed monthly in advance.

  • Payments must be made on or before the due date stated in the agreement.

  • Failure to pay may result in suspension of services until dues are cleared.


Scope of Services


The scope of work under the subscription will be defined in the signed agreement or proposal.


The subscription includes:


  • Initial branding and/or website setup (if applicable)

  • Ongoing design and development support

  • Website updates and maintenance

  • Minor improvements and feature adjustments


Requests beyond the defined scope may be quoted separately.


Fair Usage Policy


  • Subscription services operate under a fair usage policy.

  • Masusu reserves the right to reasonably limit excessive requests that go beyond agreed capacity.

  • Turnaround times depend on complexity and workload.


Ownership & Early Termination


Ownership of final deliverables transfers only after:


  • Completion of the 12-month term, and

  • Full settlement of all outstanding payments.


If the client terminates early:


  • All unpaid subscription amounts become immediately due, or

  • Ownership transfer may be withheld until settlement.


Pausing & Transfer


Subscriptions cannot be paused or transferred unless agreed in writing.


  1. Payments


  • Payments are due as outlined in your proposal/contract.

  • Work may be paused or withheld if payments are late.

  • Refunds: Masusu does not provide refunds. Instead, we ensure full clarity before kickoff so expectations are aligned.


  1. Client Responsibilities


To ensure smooth delivery, clients agree to:


  • Provide all necessary materials (brand assets, copy, imagery, credentials) on time.

  • Review and approve work within agreed timelines.

  • Communicate feedback clearly and promptly.

    Delays in providing required information may affect the project timeline.


  1. Intellectual Property


  • Before final payment: Masusu retains ownership of all work.

  • After final payment: All approved deliverables are transferred to the client, except for:


    • Pre-existing tools, frameworks, or libraries used in development.

    • Agency credits or non-exclusive design elements.


  • Masusu reserves the right to display completed projects as part of our portfolio (unless otherwise agreed in writing).


  1. Confidentiality


Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project, except where disclosure is required by law.


  1. Revisions & Scope


  • Projects typically include a fixed number of revision rounds (defined in the proposal).

  • Additional revisions or out-of-scope changes may incur extra charges.


  1. Timelines


  • Timelines are estimates and rely on client cooperation.

  • Delays in client feedback, approvals, or asset delivery may extend the schedule.

  • Masusu is not liable for missed deadlines caused by client delays.


  1. Limitation of Liability


To the fullest extent permitted by law:


  • Masusu is not liable for indirect, incidental, or consequential damages.

  • Our total liability shall not exceed the fees paid for the specific project or service.


  1. Third-Party Services


If your project involves third-party services (e.g., hosting providers, CMS platforms, integrations), Masusu is not responsible for:


  • Downtime, errors, or failures in those services.

  • Costs related to licensing or subscriptions (unless explicitly included in the project scope).


  1. Termination


Either party may terminate a project with written notice if the other party breaches these Terms.


  • Payments for work already completed remain due.

  • If terminated by the client before completion, all deposits are non-refundable.


  1. Governing Law


These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.


  1. Updates to Terms


We may update these Terms from time to time. Updates will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the revised Terms.
